SALES AGREEMENTS: ALCUNE CONSIDERAZIONI SUI CONTENUTI E SULLA LEGGE APPLICABILE

Nei contratti di compravendita di beni mobili, nei quali entrambe le parti abbiano la loro sede d’affari in Stati diversi, si applica la Convenzione di Vienna dell’11 aprile 1980 che costituisce la legge nazionale per la vendita internazionale di beni mobili per gli Stati che vi hanno aderito.

L’art. 6 della suddetta Convenzione, però, permette alle parti contraenti di escludere totalmente la Convenzione o derogare a singole sue disposizioni o a modificarne gli effetti, in favore di clausole contrattuali tra le parti che diventano legge applicabile tra i contraenti. Va ricordato, però, che la suddetta Convenzione non si applica però nel caso di vendite a consumatori, vendite all’asta, vendite di valori mobiliari, di titoli di credito o valuta, vendite di navi e aeromobili, vendita di energia elettrica (art.2), vendite di beni ancora da fabbricare o produrre qualora il produttore fornisca una parte sostanziale dei materiali da utilizzare nella fabbricazione o nei casi in cui la prestazione di mano d’opera o servizi sia prevalente rispetto alla fornitura di beni (art.3).

La Convenzione non disciplina, inoltre, la validità del contratto e gli effetti dello stesso sulla proprietà delle merci compravendute (art.4), che sono oggetto di accordi precisi extra tra le parti. La Convenzione può prevedere, altresì, le tempistiche di consegna delle merci (art.33), la conformità (l’assenza di vizi) dei beni oggetto di fornitura, i rimedi per l’eventuale inadempimento del venditore (artt. 45 – 52), il risarcimento dei danni, gli interessi per i ritardati pagamenti le esimenti di responsabilità (artt. 71 – 80) etc…

Nei Sales Agreements di norma vengono inseriti gli International Commercial Terms (Incoterms), ovvero quelle regole relative ai termini di consegna delle merci che definiscono i rispettivi compiti di venditore, la ripartizione dei relativi costi, il trasferimento dei rischi e delle responsabilità nella consegna della merce tra venditore e compratore etc… Core business dei Sales Agreement sono le condizioni generali di contratto che, per la common law di norma applicata a tali tipi di contratto, prevalgono se inserite nell’ultima offerta accettata secondo l’adagio Last Shoot Rule (Vince chi spara per ultimo).

Perché un contratto dia sicurezza ad entrambe le parti e vengano evitate costose ed inutili vertenze internazionali, dovrà poi essere evitata la cosiddetta Battle of forms tra venditore e compratore, ovverosia lo scambio continuo di rispettive condizioni generali di vendita prima dell’esecuzione del contratto onde evitare quali delle due disciplini il rapporto contrattuale in essere. A tal proposito la Convenzione di Vienna pone un correttivo a tale pratica con la Mirror Image e last shoot rule allorché all’art. 19.2 definisce i criteri di accettazione delle offerte che non possono sovvertire il contenuto delle stesse ne porre limitazioni o aggiunte agli ordini che non siano stati concordemente discussi tra le parti.

Insomma, un contratto di sales agreement deve mirare ad evitare interpretazioni contrastanti da parte di entrambe le parti e, uno dei metodi, oltre a quelli sopra citati, consiste nell’apposizione di una prevail clause che esclude l’applicazione di condizioni difformi.

SALES AGREEMENTS: some considerations on Contents and Applicable Law

In contracts for the sale of goods, in which both parties have their places of business in different States, the  law that has to be applied is the Convention of Vienna of  April 11 1980 which constitutes the law for the International Sale of Goods for the States that have signed it.

Article. 6 of the Convention, however, allows the contracting parties to completely exclude the application of the Convention or derogate from it or vary the effects of its provisions, in favor of contractual clauses between the parties that become applicable law between the contracting parties.

 It should be noted, however, that the above mentioned Convention does not apply to  sales to consumers, by auctions, on execution of law; sales of stocks, shares, investment securities or money,  sales of ships and aircrafts, sales of electricity (Art. 2)

It also does not apply to contracts for the supply of goods to be manufactured or produced when the party who orders the goods undertakes to supply a substantial part of the materials necessary for such manufacture or production. and to contracts in which the preponderant part of the obligations of the party who furnishes the goods consists in the supply of labor or other services.(Art 3)

The Convention does not govern the validity of the contract or of any of its provisions and the effect which the contract may have on the property in the goods sold. (Article 4), which are subject to specific extra agreements between the parties.

The Convention may provide also when the seller must deliver the goods (article 33), the compliance (the absence of defects) of the goods to be delivered, the remedies for any breach of contract by the seller (Art. 45-52) damages, interest for late payments of exemptions of responsibilities (art. 71-80) etc …

The International Commercial Terms (Incoterms) are normally found In Sales Agreements. There are rules concerning the delivery of goods that define the respective functions of the seller, the distribution of the costs, the transfer of risks and responsibilities regarding the delivery of goods between seller and buyer, etc…

Core business of the Sales Agreement are the general conditions of contract which, for the common law which is usually applied to these types of contract, prevail if inserted in the last accepted offer according to the adage Last Shoot Rule (whoever shots last wins).

In order for a contract to provide security to both parties and avoid unnecessary and expensive international disputes, the so-called Battle of forms between seller and buyer should be avoided at all costs. Battle of the forms refers to the not uncommon situation in which one party makes an offer in the form of a pre-printed form contract and the offeree responds with its own form contract. 

The Convention of Vienna places a tries to avoid this practice with the Mirror Image and the last shot rule. In this regard Art. 19.2 defines the acceptance criteria of the deals that can’t alter the content of the offers or put limitations or additions to orders that have not been discussed between the parties in agreement.

In conclusion, a contract sales agreement must aim to avoid conflicting interpretations by both parties and one of the methods, in addition to those mentioned above, consists in the attachment of a prevail clause which excludes the application of unequal conditions.

ДОГОВОРЫ КУПЛИ-ПРОДАЖИ: некоторые соображения о содержании и применимое право

В договоре купли-продажи, в котором обе стороны имеют свои коммерческие предприятия в разных государствах, применяется Венская Конвенция 11 апреля 1980 года, которая является национальным законом для международной купли-продажи товаров для Государств, присоединившихся к ней. В соответствии со статьей 6 Конвенции, стороны могут полностью исключить Конвенцию или отказаться от отдельных ее положений или изменять последствия их применения, в пользу договорных условии между сторонами, которые становятся действующим законодательством между контрагентами. Однако, следует помнить, что Конвенция не применяется  в случае продажи потребителям, продажи с аукциона, продажи ценных бумаг, бумаг или валюты, продажи судов и самолетов, продажа электроэнергии (статья 2), продажи товаров, которых еще надо изготовить или произвести, если производитель предоставит значительную часть материалов, используемых в производстве, или в тех случаях, когда предоставление труда или услуг распространены в отношении поставки товаров (статья 3).
Кроме того, Конвенция не регулирует действительность договора и его последствиями свойства товара продано (статья 4), которые являются предметом конкретных экстра соглашений между сторонами.

Затем, Конвенция может предсказать сроки доставки товара (статья 33), соответствие (отсутствие дефектов) поставляемых  товаров, средства правовой защиты в случае неисполнения продавцом (ст. 45 – 52), компенсация за ущерб, проценты за просроченные платежи, ответственность нарушителей (статьи 71 – 80) и т.д.


В договорах купли-продажи обычно являются Международных Коммерческих Терминов (Инкотермс) т. е. те правила, касающиеся срок поставки товаров, которые определяют соответствующие обязанности продавца, распределение расходов, переход рисков и ответственности при доставке товара между продавцом и покупателем и т.д.


Центральная часть договоров купли-продажи являются общие положения и условия, которые, по общему праву, обычно преобладают если вставлены в последний
предложении, принятых согласно правила “Last Shoot Rule” (Выигрывает кто стреляет в прошлом).

Затем следует избегать так называемой “Battle of forms” между продавцом и покупателем, т.е. непрерывный обмен общих условий купли-продажи до исполнения договора, для того, чтобы избежать принятия решения о кто будет регулировать договорные отношения. Венская конвенция ставит корректирующие этой практике с “Mirror Image” и “Last Shoot Rule”, так как ст. 19.2 определяет критерии приемки тендерных заявок, которые не могут подрыв ни могут поставить ограничения или дополнений в приказы, которые не были широко обсуждены между сторонами.
