Le società che operano in ambito internazionale spesso ricorrono ai supply aggreement, ovvero a quei contratti che presuppongono una periodica somministrazione di prodotti all’acquirente che li acquista per poi rivenderli in un altra nazione. Tali contratti presuppongono un rapporto che si prolunga nel tempo tra le due società contraenti e di norma vengono negoziati dai consulenti legali delle parti che spesso si completano di un team di negoziazione (composto da esperti del settore business, finanza e legale) e vengono anticipati da documenti preliminari negoziati e sottoscritti tra le parti quali gli accordi di confidenzialità, le lettere di intenti, il memorandum of understanding etc…
Prima di giungere alla sottoscrizione di supply agreement le società che intendono avviarsi verso questa direzione devono soppesare molteplici fattori preliminari alla formalizzazione del rapporto di fornitura. Per esempio, le società interessate devono comprendere quanti e quali saranno i fornitori del prodotto oggetto di fornitura al fine di comprendere se ve ne siano di alternativi, quale sia il costo dei beni che incideranno sul costo o sulla qualità del prodotto finito, quali siano i rischi connessi alla fornitura, quali siano le condizioni generali di acquisto etc…
Le clausole che caratterizzano i supply agreement di norma attengono:
–  alle garanzie che non vi siano diritti di terzi quanto alla proprietà, all’uso allo sfruttamento di tali prodotti; 
– al prezzo ed ai termini di pagamento e alle modalità con le quali quest’ultimo debba avvenire;
– clausole generali che limitano per esempio la rivendita in determinati Stati o Nazioni, che disciplinino la risoluzione del contratto, la legge applicabile tra le parti, il foro competente per la risoluzione delle controversie etc…
Numerose altre sono poi le clausole che possono essere aggiunte agli accordi per definire al meglio le attività operative che entrambe le parti – ciascuna secondo la propria competenza – dovranno effettuare per garantire l’esecuzione “a regola d’arte” del contratto, con l’opportunità di controllare che controparte si attenga ad altrettanto.

Companies operating in the International arena often make use of supply agreements, i.e. those contracts that require a regular supply of goods to the buyer that in turn sells them to another nation. These contracts  require a long lasting relationship between the two contracting companies and are usually negotiated by legal advisers of the respective parties who are often completed by a negotiating team (made up of experts in business, finance and law). They are anticipated by preliminary documents negotiated and signed by the parties, such as confidentiality agreements, letters of intent, memorandum of understanding, etc…

Before reaching the signing of supply agreements, companies that wish to embark on this route must weigh many factors preliminary to the relationship for the supply of goods. For example companies that are interested must understand how many and who will be the suppliers of the products that will be supplied in order to understand if there are other suppliers available, what the prices of the goods that will have an impact on the value and quality of the finished product, what the risks of the supply are, the general purchase terms are etc…

The clauses that characterize supply agreements usually pertain to:

–  guarantees that third party rights don’t exist relating to the property, use and exploitation of the products;

– the price and payment terms and the arrangements for its payment;

– general clauses that limit, for example, the resale in certain States or Nations,  rules pertaining to the termination of such contracts, the law applicable between the parties, the competent court for the settlement of disputes etc…

There are also Many other clauses that can be added to these agreements to better define all operational activities that both parties – each for its own competence – will have to carry out to guarantee the exact performance of the contract, with the opportunity to check that the other party does the same.

Компании, действующие на международной сфере, часто прибегают к Договор на доставку, то есть те контракты, которые требуют периодического отправления товаров покупателю, который в свою очередь покупает их, чтобы потом перепродать их в другой стране. Такие контракты предполагают длительные отношения между двумя Договаривающимися компаниями и обычно обсуждаются юрисконсультами соответствующих сторон, которые часто дополняются переговоров группа (состоящий  из экспертов в области бизнеса, финансов и юридической отрасли). Они ожидаются предварительные документы, заключенные и подписанные сторонами, таких, как соглашений о конфиденциальности, письма о намерениях Меморандум о взаимопонимании, и т.д.


Прежде чем прийти к подписке договора на доставку, компании, которые планируют вступить на этот путь, должны взвесить множество факторов до оформления поставок отношения. Например заинтересованные компании должны понять, сколько и какие являются поставщиками поставляемых товаров, для того, чтобы понять, есть ли любая альтернатива и какой стоимости товаров, которые повлияют на стоимость или качество готового продукта, каковы риски, связанные с доставкой, каковы общие условия приобретения и т.д.


Положения, которые характеризуют договоры на доставку, обычно относятся:

– гарантий отсутствии прав третьих лиц касающимся владения, использования и эксплуатации продуктов;
– цена, условия оплаты и условия его выплаты;
– общие положения, которые ограничивают, например, перепродажи в некоторых Государств или Наций, регулирующие прекращение договора, право, применимое между сторонами, совесть для разрешения споров, и т.д.


Многочисленными являются условия, которые могут быть добавлены к соглашениям, чтобы определить оперативной деятельности, которые обе стороны – каждая согласно своей компетенции – необходимо произвести, чтобы обеспечить выполнение "правил искусства" договора, с возможностью проверить, что и контрагент выполняет такие же правила.
